Nordic Oil Affiliate Program Terms and Conditions

These Terms govern participation in affiliate programs operated by Nordic Nutrition GmbH, Sandstrasse 3, 80335 München, Germany, HRB 232575, Amtsgericht München ("Nordic Oil," "we," or "us").

By applying, joining, or continuing to participate, the Affiliate ("you") agrees to these Terms and the conditions of the specific program to which Nordic Oil assigns you. Program-specific terms determine matters such as commission rate, commission basis, cookie period, eligible markets, and attribution. They override these Terms only where they expressly state a different rule.

UpPromote is used for tracking and administration. A status shown in UpPromote does not by itself mean that Nordic Oil has validated a commission or promised payment.

1. Eligibility and approved channels

The program is available only to persons or entities acting for commercial or independent professional purposes. Natural persons must be at least 18 years old. You must provide accurate identity, contact, tax, payment, website, and promotional information.

You must disclose every domain, landing page, social account, app, email list, advertising account, agency, sub-affiliate, and other channel you intend to use. Only channels and traffic sources approved by Nordic Oil may be used. Approval is personal, non-transferable, and limited to the disclosed setup. New or materially changed channels require approval before use.

Websites must be live, accessible, complete, and legally compliant. You may not operate multiple affiliate accounts, transfer your account, or use undisclosed third parties to generate traffic.

2. Voucher and coupon affiliates

Voucher and coupon promotion is permitted only for Affiliates assigned to Nordic Oil's dedicated voucher/coupon program or given specific written approval.

You may promote only current codes expressly issued or approved for your use. Leaked, private, expired, scraped, guessed, or other Affiliates' codes are prohibited. Automatic coupon injection, misleading click-to-reveal functions, and setting a tracking cookie without a genuine user click are also prohibited.

Voucher-program commission and attribution rules may differ from the standard program. The applicable program terms or written approval will state the relevant rules.

3. Paid advertising and brand bidding

All paid advertising requires Nordic Oil's prior written approval before launch. This includes Search, Google Display, Performance Max, Shopping, Microsoft/Bing Ads, paid social media, native advertising, retargeting, sponsored placements, and any other purchased traffic.

Approval must come from an authorized Nordic Oil affiliate manager and is limited to the reviewed advertising account, campaign, target country and language, targeting, creative, landing page, URLs, redirects, and tracking setup. Silence, affiliate-account approval, tracked sales, or an UpPromote status is not approval. Material campaign changes require renewed approval.

Generic-keyword advertising may be approved using your own approved domain. Direct linking from a paid advertisement to Nordic Oil is prohibited unless expressly approved.

You must not bid on, target, purchase, or intentionally trigger advertising for Nordic Oil Brand Terms. These include "Nordic Oil," "Nordicoil," "Nordic Cosmetics," Nordic Oil trademarks and distinctive product names, and their misspellings, variations, translations, or combinations with words such as "buy," "shop," "official," "review," "discount," "voucher," "coupon," or "code."

The restriction applies to all match types and automated advertising, including broad match, Dynamic Search Ads, Performance Max, Shopping, search themes, and equivalent systems. You must use appropriate negative keywords and brand exclusions. Brand Terms must not be used in paid-ad copy, display URLs, domains, or account names in a way that suggests an official Nordic Oil property.

Orders generated through prohibited branded paid traffic are not commissionable. Intentional, concealed, repeated, or uncorrected brand targeting is a material breach. An isolated unintended match that is promptly disclosed and blocked will be assessed proportionately.

4. Content and promotional conduct

Promotions must be genuine, accurate, current, and clearly distinguishable from official Nordic Oil communications. Affiliate or advertising content must include a clear commercial disclosure placed with the relevant promotion and expressed in a language understood by the target audience.

Advertisements and landing pages must use the principal language of the target country unless Nordic Oil approves another language in writing. Prices, discounts, expiry dates, products, and availability must match current information supplied by Nordic Oil.

You may use only objective product descriptions and claims supplied or approved by Nordic Oil for the relevant product and market. You may give a genuine personal opinion, but you must not make unsupported medical, therapeutic, health, nutrition, cosmetic, or performance claims. In particular, you must not state or imply that a product diagnoses, treats, cures, or prevents pain, disease, or a medical condition.

The following are prohibited:

  • cookie stuffing, forced or invisible clicks, bots, artificial traffic, click farms, sales manipulation, or fabricated evidence;
  • adware, spyware, toolbars, browser extensions, pop-ups, pop-unders, hidden iframes, or similar software-driven promotion;
  • cloaking, automatic forwarding, misleading URLs, undisclosed redirects, unapproved intermediate domains, or hidden landing pages;
  • self-referrals, placing orders on behalf of customers, duplicate accounts, or interference with tracking;
  • spam or unapproved email, SMS, telephone, newsletter, or direct-message marketing;
  • unauthorized voucher codes, false prices, expired offers, deceptive urgency, or misleading claims;
  • posting affiliate links on third-party groups or channels you do not own without approval;
  • targeting minors or promoting alongside unlawful, hateful, discriminatory, extremist, violent, or pornographic content; and
  • any activity that violates applicable advertising, consumer, privacy, product, intellectual-property, or platform rules.

Your channels must contain legally required operator, privacy, and consent information. You remain responsible for contractors, agencies, and sub-affiliates acting for you.

5. Traffic evidence and verification

You must keep sufficient records to verify your campaigns, traffic path, and attribution for 12 months after the later of the referral or campaign end. When reasonably requested, you must normally provide them within five business days.

Evidence may include native, unedited advertising-platform exports showing account and campaign IDs, dates, spend, targeting, search terms, placements, negative keywords, brand exclusions, creatives, landing pages, final URLs, redirects, tracking parameters, analytics, change history, and invoices.

Screenshots showing only clicks or spend and unsupported explanations do not prove sales attribution. Material anomalies involving conversion rate, cost per order, geography, language, timing, devices, referrers, coupons, or traffic paths may trigger enhanced verification. An unusual result is not automatically proof of misconduct, but the related commissions remain provisional until supported by sufficient evidence.

Failure to retain or provide complete and authentic evidence may cause affected referrals to be treated as unverifiable and rejected.

6. Commission validation and payment

Commission rates and attribution rules are those stated in your assigned program. A referral is eligible only if it was generated through an approved and compliant method, tracked correctly, placed independently by a genuine customer, successfully paid, and not cancelled, returned, refunded, charged back, duplicated, fraudulent, or misattributed.

How payment works

  1. Recorded: The order appears in UpPromote. It may automatically show as "approved," but the commission is still provisional.
  2. Reviewed: At the beginning of each month, Nordic Oil normally reviews orders from the previous calendar month.
  3. Paid: Validated orders are normally paid around the 15th of the month after the review month, with a possible variation of two to three business days. Payment requires at least EUR 100 in validated commission and complete payment details.

This schedule means an order remains provisional for at least 45 days before payment. A commission is validated only when Nordic Oil includes it in a payout statement or otherwise confirms validation in writing; an ordinary UpPromote status is not that confirmation.

In simple terms:

  • June orders are normally reviewed at the beginning of July and paid around 15 August.
  • July orders are normally reviewed at the beginning of August and paid around 15 September.

Example: In a program paying 35%, three July orders with a commissionable value of EUR 100 each produce EUR 105 in recorded commission. We review them in August. If all three remain valid and compliant, the EUR 105 is normally paid around 15 September. If one order is returned, EUR 35 is removed and the remaining EUR 70 carries forward until the validated balance reaches EUR 100.

"Commissionable value" is defined by the assigned program and is not necessarily the customer's full checkout total. The program must state how VAT, shipping, duties, discounts, gift cards, and returns are treated.

All dashboard amounts remain provisional until Nordic Oil validates them. Returned, cancelled, fraudulent, misattributed, materially non-compliant, or unverifiable orders do not earn commission. Partial returns result in a corresponding adjustment.

A specific order may remain pending longer if a return, cancellation, chargeback, attribution question, compliance review, missing evidence, fraud indicator, or legal restriction remains unresolved. Only the affected amount will be held for as long as reasonably necessary.

If objectively documented prohibited or unverifiable traffic cannot reasonably be separated from other traffic, Nordic Oil may reject all unvalidated referrals from the affected campaign, traffic source, account, or period. Overpayments may be offset against future commission or recovered where legally permitted.

Balances below EUR 100 carry forward. When the relationship ends, pre-termination referrals continue through validation, and any compliant validated balance unrelated to the termination reason is paid in the next applicable payment cycle even if below EUR 100. Commissions are paid in EUR. You are responsible for applicable taxes and receiving, intermediary-bank, and currency-conversion fees.

7. Suspension, termination, and review

Nordic Oil may suspend an account, campaign, tracking, or affected commissions while investigating suspected fraud, brand bidding, prohibited traffic, false information, attribution problems, or another material breach. Nordic Oil may require immediate removal or pausing of advertisements, links, codes, or content.

Nordic Oil may terminate the relationship immediately for a material or repeated breach and reject unvalidated commissions connected with the breach. If reliable separation is impossible, this may cover the affected campaign, traffic source, account, or period. Validated commissions demonstrably unrelated to the breach remain payable.

You may request one internal review within 14 calendar days. The request must include all substantive supporting evidence. Explanations, assurances, repeated messages, or incomplete screenshots are insufficient. The written review decision concludes Nordic Oil's internal process, and repetitive submissions containing no material new evidence need not receive a further response.

Requesting review does not reactivate the account, authorize continued promotion, or lift a payment suspension unless Nordic Oil confirms otherwise in writing.

Upon termination, you must immediately stop using and remove Nordic Oil links, codes, trademarks, and marketing materials.

8. Intellectual property, privacy, and relationship

While your account is active and compliant, Nordic Oil grants you a limited, revocable, non-transferable right to use approved brand materials solely for approved affiliate promotion. You may not register confusing domains or handles, imitate an official Nordic Oil channel, alter materials in a misleading way, or claim ownership of Nordic Oil intellectual property.

Each party must comply with applicable data-protection law. You may not collect or use Nordic Oil customer data without prior written authorization and the necessary legal arrangements. Required privacy notices, consent controls, security measures, and commercial disclosures must be active before tracking or promotion begins.

You act as an independent contractor and have no authority to bind Nordic Oil. You are responsible for your advertising, channels, taxes, costs, personnel, and legal compliance.

9. Changes and general provisions

Nordic Oil may update these Terms prospectively for legitimate legal, security, platform, operational, or commercial reasons. Material changes will normally be communicated at least 14 days before they take effect, unless an urgent legal, security, or fraud-prevention reason requires a shorter period. Changes do not retroactively make previously compliant activity a breach.

Existing Affiliates may be required to accept a new version by a stated deadline before continuing promotion. Nordic Oil will retain the accepted version and acceptance date.

German law applies to the extent permitted by mandatory law. For Affiliates who are merchants, legal entities under public law, or special funds under public law, the exclusive place of jurisdiction is München, Germany. Otherwise, statutory jurisdiction rules apply.

If part of these Terms is invalid, the remainder continues to apply and statutory law fills the gap. Failure to enforce a provision once is not a waiver.

Affiliate-program notices should be sent to cj@nordicoil.com or another address designated by Nordic Oil in writing.

Privacy Policies

This Privacy Policy of UpPromote about Affiliate Marketing system describes how we may collect and use personal data and the rights granted to merchants, affiliates and customers regarding their respective data.

By joining the Affiliate program, you signify your approval of the terms set out in this Privacy Policy, and other terms and conditions. If you do not agree to this Privacy Policy, you must not use the affiliate marketing system.

We may update this Privacy Policy from time to time in order to reflect, for example, changes to our privacy practices or for other operational, legal, or regulatory reasons. By continuing to our affiliate program after these changes are posted, you agree to the revised policy.

 

Personal Information Controller

Any personal information provided to or gathered by UpPromote under this Privacy Notice will be stored and controlled by UpPromote (the data controller).

 

Information collected from Merchants

When merchant uses the app, we are automatically able to access certain types of information from your Shopify account such as email, first name, last name, shop information (shop domain, shop currency, shop address …). We collect this information to provide you with our Services; for example, to confirm your identity, contact you, provide customer support when you contact us, provide you with advertising and marketing activities.

 

Information collected from Affiliates

When an Affiliate signs up to join a program, we collect some information to inform merchants such as email, personal information, payment details and social network information,...The information would help merchant evaluate affiliate background and potential, along with process specific activities within the app and contact affiliate if needed.

 

Information collected from Customers when visiting merchant website

In order to track referral order, when customers visit merchant website and make a purchase, UpPromote system will collect information of order such as total order, order items, order ID,....

 

About Cookies

“Cookies” are data files that are placed on your device or computer and often include an anonymous unique identifier.

Ensuring your privacy is important to us. We do not share your personal information with third parties except as described in this privacy policy. We may share your personal information with third-party service providers who we employ to process specific functions; examples include providing email marketing activity, analyzing data and other marketing support,... Third-party service providers have access to personal information only as needed to perform their functions and they must process the personal information in accordance with this Privacy Policy.

We may also disclose your personal information to any third party with your prior consent.

 

Use of UpPromote app by Children

UpPromote is not intended for children. If you are under 13, you may use the affiliate marketing system only with the supervision of your parent or guardian.

 

Your Rights

UpPromote understands that you have rights over your personal information, and takes reasonable steps to allow you to access, correct, amend, delete, port, or limit the use of your personal information. If you are using the system and wish to exercise these right, please contact us through Affiliate@nordicoil.com. We may require that you provide us with acceptable verification of your identity before providing access to such information.

If you are an affiliate and wish to exercise these rights, please contact the merchant you interacted with directly — we serve as a processor on their behalf, and can only forward your request to them to allow them to respond.
